Thank you for trusting The Letting Partnership! These Service Terms govern our provision of our Audit products and services. These terms contain the following sections:
- Part 1: Orientation - information about The Letting Partnership, and the Audits.
- Part 2: Service terms - the terms governing our relationship for each Audit you buy.
Who we are
We are The Letting Partnership Limited (TLP), a company specialising in providing client money protection services to agents across the UK. TLP is referred to as TLP or we.
TLP is a UK company (number 04906558), with a registered address at Second Floor, 3 Liverpool Gardens, Worthing, West Sussex BN11 1TF.
In this document, you are the agent or agency named in the TLP Audit, any person acting on behalf of the agency or any person who completes the audit questionnaire on the agent or agency's behalf.
What are TLP audits?
These Service Terms apply to your use of the following TLP products and associated services, together referred to as TLP Audits or Audits:

HealthCheck |
Assesses the integrity of client money accounts and evaluates how an individual agent or multi-branch business manages client funds. It is an analytical programme that applies established industry tolerances to identify discrepancies in client money accounting, tenant deposit protection, and other areas of regulatory non-compliance. This is achieved through the analysis of (A) trading and operating data, (B) client money account transactions, and (C) deposit provider records supplied by you. The HealthCheck also reviews operational practices, including staff qualifications, insurance cover, and the timeliness and accuracy of client accounting processes. |

Client Money Audit |
Focuses specifically on how a letting agent handles client funds. It is conducted using secure open banking technology to access bank statement data and applies established industry norms to assess transactional information. You will provide aggregated portfolio details via our online questionnaire, which is supplemented by a targeted stress test of transactions using your bank data. The audit verifies client money movements, balances, and reconciliation activity to confirm that funds are properly held and managed in accordance with client money protection requirements. |

DepositAudit / DepositAudit Risk Assessment |
Assesses an agent's compliance with statutory tenant deposit protection requirements, industry best practice and known fraud risks. It compares records held by the agent with those held by the relevant Deposit Protection Provider(s) to identify and report any discrepancies. For agents using an insured deposit scheme, the audit may also verify the corresponding bank statement balances to confirm that deposit funds are appropriately maintained. |

Accountant's Report |
A compliance review signed off by a qualified accountant. Assesses the health of client money accounts and how an individual agent or multi-agency business handles client money, with direct access to your lettings software and spot-checking of financial records to verify accuracy. Provides independent professional assurance that your client money handling practices comply with industry standards and regulatory requirements for CMP scheme purposes. |
Important note: Audits referred to throughout are not statutory audits conducted under the Companies Act 2006 or in accordance with UK financial auditing standards.
Terminology
In this document, we talk about client money accounts which are any bank accounts where monies received from applicants, tenants, landlords or any other source, are deposited.
We may also refer to your Scheme Provider which is one or more of the following:
- Client Money Protection (CMP) scheme provider which is a government approved service approved under the Housing and Planning Act 2016 and associated regulations (England & Wales), or equivalent legislative provisions in Scotland and Northern Ireland where applicable.
- Tenancy Deposit Protection (TDP) Provider which is a government authorised tenant deposit protection service appointed at the time of the tenancy as regulated by the Housing Act (England & Wales) 2004, The Housing (Scotland) Act 2006 and The Tenancy Deposit Schemes Regulations (Northern Ireland) 2012.
Part 2: Service Terms
- Your use of the service
- By submitting a completed questionnaire (Audit Questionnaire) and supporting documents, you (on behalf of the company named as applicant in the Audit Questionnaire):
- warrant that all of the information you provide is true and accurate at the time of submission;
- authorise all relevant Scheme Providers to release to TLP full details relating to your registration (such as tenant deposits registered with them by you within their insured or custodial schemes); and
- give consent for TLP to make any enquiries with any party to verify the information provided by you.
- For certain Audits you will need to upload your client money account bank statements, or to connect your GoCardless account. This means that TLP will have access to tenant transaction data in your client money account. By submitting the Audit Questionnaire, you authorise TLP to access, retrieve and process your client money account data to run the Audit.
If you connect your GoCardless account, you are accessing the GoCardless Bank Account Data Service which is provided by GoCardless under these end user terms and privacy notice. Connecting your GoCardless account is dependent on: (a) you authenticating yourself with your bank successfully and providing valid consent to access your account information, and (b) your bank providing such access. If your authentication or consent is rejected, revoked or lapses, you may need to upload your statements instead.
- We aim to provide a final report (Audit Report) within 10 working days of receipt in our offices of the completed Audit Questionnaire and all supporting documents. On occasions this may not be possible, for example if we need to request additional details or clarifications to complete the process.
- By submitting a completed questionnaire (Audit Questionnaire) and supporting documents, you (on behalf of the company named as applicant in the Audit Questionnaire):
- How we process and share your data
- Personal data (including any documents) you provide for the purposes of the Audit will be processed in accordance with applicable data protection laws. How we process your personal data is described in the Data Processing Agreement (DPA).
- We will treat all your data and documents as confidential, but may disclose them as set out below. This duty of confidentiality will not apply to information that becomes public knowledge (otherwise than as a result of a breach of this clause) or to the extent it is ordered to be disclosed to a regulatory body or a court.
- We may send your Scheme Provider a copy of your completed Audit Report. This always applies to the Client Money Audit and Tenancy Deposit Audit, and may apply to other audits.
- After the final Audit Report has been sent to your Scheme Provider, we will immediately destroy, in a secure manner, any documents we received from you in paper form or which we printed out. We retain some of your data and documents in electronic form for a period of time as described in the Data Processing Agreement (DPA).
- Financial reporting. If during the Audit process we believe there to be any unexplained activities that could reasonably be regarded as irregular under existing industry codes of practice in how you handle client money including tenant deposits, we reserve the right to disclose our concerns to:
- your Scheme Provider;
- your redress scheme provider (PRS or TPO);
- any letting industry regulator that you or your organisation is a member of;
- where you operate your business as a franchise, to the franchisor;
- the Police if we have reason to believe you have acted fraudulently.
- Fees
- TLP Audit fees and payment terms are published on the introduction pages of the Audit Questionnaire and are subject to change. By accepting these Service Terms or submitting your Audit application, you agree to pay the fee on time. All fees are subject to VAT unless otherwise stated.
- We will not start processing your Audit application until we have received payment of the fee from you. Once an application has been accepted we will not refund any fees, except as stated below.
- If you submitted your Audit application and supplied us with accurate and complete information and documents requested, but we are unable to carry out the Audit due to circumstances beyond our control, we will refund the fees you have paid to us.
- Warranties, disclaimers and limitations
- We will carry out the Audit with skill and care but do not represent or warrant that the Audit Report will be error free.
- Requesting and paying for an Audit does not guarantee that we will give you a clean bill of health. We issue each Audit Report “as is”. TLP's decision is final in relation to the contents of the report.
- In the case of an audit for obtaining or renewing CMP insurance, the Audit Report is only a recommendation to your Scheme Provider to pass you or to investigate further; it is up to your Scheme Provider to decide what action to take on the basis of the Audit Report.
- The Audit process relies wholly on the accuracy and truthfulness of the information and documents provided by you.
- The Audit is dependent on third party services (including GoCardless, and FormStack which hosts the Audit Questionnaire). TLP will not be liable for any failure of such services.
- The completed Audit Report does not constitute a statutory audit conducted under the Companies Act 2006 or in accordance with UK financial auditing standards.
- The total liability of TLP to you in relation to the Audits your purchase and these Service Terms, is limited to:
- 100% of fees you paid to TLP for the relevant Audit; or
- 200% of fees you paid to TLP for the relevant Audit, if the above cap cannot be applied for any reason, or if a court or regulatory body determines that TLP is liable for negligence, intentional misconduct, or breach of its legal obligations in respect of your personal data.
- TLP will not be liable to you for any indirect or consequential losses (including loss of business and loss of anticipated savings) or any punitive or exemplary damages, arising in connection with an Audit, even if they were foreseeable.
- TLP will not be liable to you for any delay or failure in carrying out the Audit that results from events or circumstances outside of our reasonable control.
- You warrant that you have the right (including under applicable data protection laws) to disclose the information and client money account data you provide to TLP. You agree to indemnify TLP against any claims by landlords or tenants arising from TLP's use of such information and data (unless caused by TLP breaching its obligations under these Service Terms).
- Intellectual property
- The system, analytical programme and methodologies which are used to create the Audit Questionnaire and the Audit Report, and the intellectual property rights in the same, are owned by TLP. (Intellectual property includes any patent, trademark, service mark, copyright, registered design, design right, database right, know-how and confidential information).
- You may access the Audit Questionnaire, and share the resulting Audit Report with relevant parties, but we do not grant you any other rights to TLP's intellectual property.
- You give us permission to access, use, monitor and display the data and documents you provide with your Audit application, as reasonably required for TLP to provide the Audit to you.
- You give us permission to incorporate the data you provide with your Audit application (and any reports and analysis TLP generates based on your data) to create aggregated data. This means we can combine your data with other users' data in a way that doesn't identify you personally, for improving our service and technology, generating reports, and spotting trends. TLP will own this aggregated data. Your own data will still be protected under our confidentiality and data protection obligations towards you.
- TLP may use your logo, business name, business address and office phone number in a directory of agents (published on TLP's website) that have passed any Client Money Audit or HealthCheck. You give us a worldwide, non-exclusive, royalty-free licence to use your company name and logo for this purpose only.
